Equipment Rental Agreement
THIS EQUIPMENT LEASE AGREEMENT (“Lease”) is made and effective by clicking on the “Complete Order” button, by and between Digital Lens Rentals.com, (“Lessor”) and current user (“Lessee”). By clicking on the “Complete Order” button, Lessee agrees to be bound by this Equipment Lease Agreement and all the Terms and Conditions therein, whether or not Lessee has read them. Lessor may at its sole discretion modify this Equipment Lease Agreement and all the Terms and Conditions therein at any time. By clicking on the “I agree, submit this order” button, Lessee indicates acceptance of the modified Terms and Conditions. NOW, THEREFORE,
1. Rent
a. The rent for all equipment will be paid in full prior to pick-up of equipment.
2. Term
a. The term of this Rental Agreement shall commence on the date in person pick-up receipt is signed. Term of Lease will expire in the given period shown in the order as duration thereafter. If Lessee pickup is scheduled to fall on a non-standard business day, including holidays, the Lessor must arrange a drop off time prior to the day of term expiration. Failure to schedule a drop off time of Equipment will result in Lease extension until the next business day and rental charges for the extended time will apply.
3. Transport
a. Lessee shall be responsible for transporting the Equipment to Lessor’s premises. All pick ups and drop offs of Equipment will require Lessee’s signature.
b. Lessee is responsible to ensure Equipment is returned by the date of Lease expiration.
4. Late Returns/Charges
a. Lessee is responsible for Equipment to be returned by the date of Lease expiration. Failure to return Equipment will result in Lease extension per the Tier extensions until the Equipment has been returned up to a 10 day period. Rental charges for the extended time will apply for late returns. Failure to return equipment by the due date without notification to Lessor will result in a $50 un-notified late charge. Failure to return equipment with 10 days of Lease expiration will result in filing with the local police authority. Lessee shall be responsible for all lost rental expenses for the duration of the equipment not being returned.

5. Rental Deposits
a. Rental deposits are not accepted for future rentals. Rentals must be paid in full prior at the time in which the order is placed.
6. Rental Cancellation/Failure To Pickup
a. Rental Cancellations are not accepted less than 48hrs prior to the Lease commencing. Rental cancellations outside of 48hrs may be charged a $30 cancellation fee.
b. The Lessor may terminate the Rental Agreement at any time prior to Equipment pick-up.
c. Lessee who fails to pick up rented equipment on the date selected by the Lessee shall forfeit the entire rental and shall not receive a refund. It is up to the discretion of the Lessor regarding a credit to the customers account for the value of the rental that was failed to be picked up at on the date selected by the Lessee.
7. Use
a. Lessee shall use the Equipment in the proper manner it was intended. Lessee must also comply and conform to all national, state, municipal, police, ordinances, regulations.
b. Lessee shall not, under any circumstances, attempt to sell, redistribute, pawn, loan, rent, or lend any equipment listed on the electronic pick up form.
c. Lessee shall not remove, attempt to remove, or damage barcodes placed on each item. Damage, removal, or attempt of removal of barcodes will result in a $50 replacement fee per item.
8. Order Fulfillment
a. All orders provided by Lessor will be available for pick up at our current store location during our normal working hours. Lessor makes no guarantees as to availability of Equipment. Equipment cannot be held with use of deposit.
9. Repairs
a. Lessee, at its own cost and expense, shall keep all Equipment under rental agreement in good repair, condition and working order and shall furnish any and all parts, mechanisms, and devices required to keep the Equipment in good mechanical working order. Any issues with the equipment must be reported within 12 hours of receipt or malfunction.
10. Loss and Damage
a. The Lessee assumes all risks of loss or damage to the Equipment from any cause, and agrees to return the Equipment to the Lessor in the condition received with the exception of normal wear and tear. All determinations made by Lessor at the return of rental period. In the event of theft, Lessee shall submit a copy of the police report to Lessor within 15 days of theft occurrence.
b. Lessee shall not materially modify or alter the Equipment.
i. In the event of any material modifications, Lessee will be responsible for all costs of Lessor in the restoration of Equipment to its original condition.
c. Lessee assume and shall bear the entire risk of damage to the equipment from any cause during the rental period.
d. At Lessor’s discretion, a cleaning fee may be charged if any of the following must be removed from the equipment upon return:
i. Smoke
ii. Mud, Sand, or Dirt
iii. Chalk or Powder
iv. Any other material that must be removed from the Equipment before it is placed back into Lessor’s inventory.
v. Color runs are not to be covered with equipment. The media used for color runs will permanently damage equipment and will result in the Lessee replacing all equipment at replacement value. Equipment cannot be cleaned.
11. Surrender
a. Upon the expiration of this Rental Agreement, Lessee shall return Equipment to Lessor in good repair, condition and working order.
12. Shipping
a. At this time, Digital Lens Rental does not ship equipment and does not accept shipment to return equipment. All equipment must be returned to the location in which it was rented.
13. Typographical Errors
a. In the event Equipment is listed incorrectly due to errors in pricing information received from Lessor’s suppliers, Lessor has the right to refuse or cancel any and all orders placed for Equipment. Should Lessor cancel Lessee’s order, Lessor will immediately credit Lessee’s account for the incorrect amount paid and Equipment term will be terminated.
14. Right of Inspection
a. After expiration of Rental Agreement, Lessor shall have the right to inspect the equipment within 48hrs of return.
15. Option to Renew
a. If the Lessee is not in default upon the expiration of rental period, the Lessee may have first option to extend the Equipment on such terms as the parties may agree at that time.
16. Acceptance of Equipment
a. The Lessee shall inspect each item of Equipment picked-up pursuant to this Rental Agreement. The Lessee shall immediately notify the Lessor of any damage.
b. Any failure to inform Lessor of damage after delivery of Equipment, the Lessee will be conclusively presumed to have accept the Equipment in good working order. Any subsequent claim that the Equipment was not provided in fully functional order will not be considered.
17. Taxes and Fees
a. During the term of the Rental Agreement, the Lessee shall pay all taxes and fees associated with Rental Agreement and Equipment Rental.
18. Liability
a. Liability for injury, disability, and death and other person caused by operating, handling, or transporting the Equipment during the term of this Rental Agreement is the obligation of the Lessee, and the Lessee shall indemnify and hold the Lessor harmless from and against all such liability.
b. Lessee shall maintain liability insurance
19. Indemnity
a. If Equipment is damaged or lost, the Lessor shall have the option of requiring the Lessee to repair or replace Equipment to a state of good working order, which shall become the property of the Lessor and subject to this contract.
20. Default
a. The occurrence of any of the following shall constitute default under this Hire:
i. The failure to make a required payment under this Rental Agreement when due.
ii. The violation of any other provision or requirement that is not corrected within 4 day(s) after written notice of violation is given.
iii. The insolvency or bankruptcy of the Lessee.
iv. The subjection of any of Lessee’s property to any levy, seizure, assignment, application or sale for or by any creditor or government agency.
21. Bankruptcy
a. Neither this Rental Agreement nor any interest therein is assignable or transferable by operation of law. If any proceeding under the Bankruptcy Act, as amended, is commenced by or against the Lessee, or if the Lessee is adjudged insolvent, or if Lessee makes any assignment for the benefit of his creditor, or if a write of attachment or execution is levied on the Equipment and is not released or satisfied within fifteen (15) days thereafter, or if a receiver is appoint in any proceeding or action to which the Lessee is a party with authority to take possession or control of the Equipment, Lessor shall have an may exercise the option to, without notice, immediately terminate the Rental Agreement and Rental Term.
22. Ownership
a. Equipment will be deemed to be personal property, regardless of the manner in which it may be attached to any other property.
b. The Lessor shall be deemed to have retained full ownership of Equipment at all times, unless the Lessor sells Equipment with Bill of Sale.
23. Entire Agreement
a. This Rental Agreement constitutes the entire agreement between the parties. No modification or amendment of this contract shall be effective unless in writing and agreed on by both parties. This Rental Agreement replaces any and all prior agreements between both parties.
24. Assignment
a. The Lessee shall not assign or sublet any interest in this Rental or the Equipment or permit the Equipment to be used by anyone other than the Lessee or Lessee’s employees, without Lessor’s written consent.
25. Severability
a. If any portion of this Rental Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
b. If a court find that any provision of this Rental Agreement is invalid and unenforceable, but that by limiting such provision, it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
26. Waiver
a. The failure of either party to enforce any provision of this Rental Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this contract.
27. Improper Equipment Returns
a. Failure to return rented equipment will be processed as stolen property. All goods that are not received by the return period listed within the rental agreement will be turned over to the local police as a theft. Equipment must have all items listed in rental agreement as well as matching serial numbers for equipment.
28. Client/Customer Information
a. Prior to renting equipment, Lessee must agree to all terms listed above, must show government issued identification, and must complete the equipment rental agreement form. Failure to perform the following items will restrict the Lessee from renting equipment. No information will be publicly distributed.
29. Governing Law
a. This Rental Agreement shall be construed in accordance with the laws of the State of Virginia.
30. Lessee Age Restriction
a. All Lessee shall be 18 years of age or older and carry a valid Government issued ID. All rentals require 100% ID check.
